1. SPONSOR

The Ndax Ice Contest (the “Contest”) is sponsored by Ndax Inc. (“Ndax” or the “Sponsor”), a registered Canadian crypto asset trading platform.

2. ELIGIBILITY

The Contest is open to legal residents of all provinces and territories of Canada who:

• Have reached the age of majority in the province/territory of their residency.

• Hold an active Ndax account in good standing which is required. Opening an account is completely free; no purchase necessary.

• Only participants who have completed full identity verification and have been accepted on the platform are eligible to win or claim prizes. Ndax may accept or reject your application in its sole discretion.

• Employees, officers, directors, agents, representatives, contractors, and affiliates of Ndax, the National Hockey League (“NHL”), its member clubs, NHL Enterprises, L.P., NHL Enterprises Canada, L.P., NHL Enterprises B.V., NHL Interactive CyberEnterprises, LLC (the foregoing NHL entities collectively, the “NHL Entities”), and their immediate families, are not eligible to win. 

3. CONTEST PERIOD 

The Contest begins at 12:00 AM Eastern Time (“ET”) on 19 April 2025 and ends at puck drop of the last game of the 2025 Stanley Cup® Playoffs. 

• Daily games will be available only on scheduled 2025 Stanley Cup® Playoffs game days during this period. 

• Each game will have a designated entry deadline based on the scheduled start time. Predictions may be submitted up until the official puck drop of each Stanley Cup® Playoffs game. Once the respective game begins, no further predictions will be accepted. Games closed for predictions will be clearly marked, and the selection option will be disabled. 

4. HOW TO ENTER

No purchase necessary. To enter the Contest and participate, you must:

• Download Ndax app and register your email address.

• Log into the Ndax mobile app to make your daily Stanley Cup® Playoffs predictions. Users may submit predictions for any scheduled game as soon as it appears in the app’s available schedule. Predictions will remain open until the scheduled start time (puck drop) of the respective game. Once a game is live and the puck has been dropped, predictions for that game will be locked and can no longer be submitted or modified.

• Earn additional entries by referring friends. Each successful referral will earn bonus points, which will be converted into additional entries for the grand prize draw.

To be eligible for referral-based entries, you must be a verified user and share your unique referral link—available within your Ndax account—with others. Each referred individual must sign up using your referral link and successfully complete their own account verification process. Deposits or trades by the referred individual are not required for you to earn entries.
Participation and account opening are free for both the referring user and the referred individual.

Referral tracking is handled automatically through the Ndax platform. Once a referral is verified, you will receive a referral fee through the standard Friends and Family Referral Program (as outlined in Section 28 of the Ndax User Agreement) and referral entry points for the purposes of this promotion.

Each successful, verified referral will earn you five (5) additional points, equating to five (5) extra entries into the grand prize draw, in addition to any points earned through gameplay. Referrals must be unique and newly-registered users.

You may earn entries for up to twenty (20) verified referrals, for a maximum of one hundred (100) additional points (one hundred (100) grand prize entries). Any referrals beyond the twenty (20)-user cap will not grant additional points for the draw but will continue to qualify for standard referral fee paid under the Ndax Family & Friends Referral Program.

If you choose to share your referral link through social media channels, it is your responsibility to ensure that such sharing complies with the applicable promotional guidelines of the platform used. Ndax reserves the right to withhold entries if the referral method violates these platform policies or any applicable laws. 

• No purchase, deposit, or trading is required.

Each user must acknowledge acceptance of these Contest Rules. By participating, you agree to have read and accept the Contest Rules and will abide by the entry requirements of these Contest Rules.

Note: Participants may play the game without completing verification, but only verified users will be eligible for random draw selection or prize claiming.

5. CONTEST STRUCTURE & PRIZES

This Contest consists of three (3) distinct prize categories: Game Day Daily Prizes, Round Prizes, and a Grand Prize Draw. All prizes are awarded in accordance with the eligibility and verification requirements outlined herein.

a) Game Day Daily Prizes

“Game Day Daily Prizes” are awarded by random draw among all eligible users who submit at least one (1) prediction on a game day. Accuracy of the prediction does not impact eligibility for these prizes; participation alone qualifies a user for the draw.

• Eligibility: To qualify, a user must submit at least one (1) prediction for any game on a given day. The user must be successfully verified through the Ndax verification process.

• Frequency: Draws will occur on each game day during the Contest period.

• Limitations: Users may win Game Day Daily Prizes on multiple days; however, no participant may win more than once per day.

Prizes per Game Day (awarded to eighteen (18) winners total):

• Six (6) prizes of $50 CAD in the crypto asset of the winner’s choice, credited to the winner’s Ndax account.

• Six (6) prizes of $25 CAD in the crypto asset of the winner’s choice, credited to the winner’s Ndax account.

• Six (6) Ndax-branded merchandise items, which may include a T-shirt, sweatshirt, or hoodie (valued at $50 CAD).

All Game Day Daily Prize winners will be selected via randomized draw from among that day’s eligible participants.

b) Round Prizes

There will be three (3) rounds eligible for “Round Prizes”, corresponding with the progression of the Stanley Cup® Playoffs. Each round functions independently, and only points earned within the respective round will be used to determine winners. Previous round scores will not carry over (excluding Conference Finals round).

• First and Second Round: The three (3) individuals with top points scored in each round will each receive:

  • Two (2) Stanley Cup® Playoffs game tickets for the following round (team selection is subject to availability and user preference, valued at approximately $2,000 CAD for two (2) tickets).

  • One (1) Ndax-branded Limited-Edition Tumbler (valued at $100 CAD).

    • Note: If a top 3 winner declines the ticket prize, the next highest-ranked eligible participant will be awarded the ticket prize in their place.

    • The winners of the tickets are responsible for their own travel expenses, accommodation, meals and any other associated cost.

  • The next fourteen (14) highest scorers on the leaderboard (ranks 4 to 17) will each receive $100 CAD in the crypto asset of their choice, credited to their Ndax account.

• Conference Finals (Round 3):

  • Winners will be determined based on total accumulated points throughout the entire Contest, not limited to “Conference Finals” alone.

  • The top two (2) overall point earners will each receive:

    • Two (2) tickets (for winner and one (1) guest) to the 2025 Stanley Cup® Final (values at approximately $2,000 CAD for two (2) tickets)

    • Travel and accommodation arrangements for the winners and their guests, to be organized and paid for by Ndax up to $2,500 CAD.

  • The next fourteen (14) users on the final leaderboard will each receive $100 CAD in the crypto asset of their choice, credited to their Ndax account.

Participants may win prizes in multiple rounds if they meet the criteria in each.

Winners and winners’ guests must abide by all venue policies and game ticket terms and conditions. Ndax reserves the right to revoke the full or partial prize from any winners or winners’ guest(s) who Ndax or venue personnel deem in their sole discretion may be intoxicated, be a safety or health risk, have violated any venue policy or law, or bring Ndax or the NHL Entities into disrepute.

Ndax and the NHL Entities make no warranty, guaranty, or representation of any kind concerning any prize and the NHL Entities are not responsible if any game is postponed or canceled.

c) Grand Prize Draw

At the conclusion of the Contest period, two (2) “Grand Prize” winners will be selected via a random draw. The number of entries each participant has in this draw will be proportional to their correct predictions and engagement throughout the Contest.

• Grand Prize:

  • A cash prize valued at $5,000 CAD, awarded in the crypto asset of the winner’s choice, credited to their Ndax account.

  • One (1) Ndax-branded Limited-Edition Tumbler (valued at $100 CAD).

  • Ndax Swag Kit (valued at $200 CAD). 

Earning Grand Prize Draw Entries:

• One (1) entry for each point earned through correct predictions.

• Five (5) additional entries for each successfully verified referral submitted via the user’s unique referral link (up to a maximum of twenty (20) referrals or one hundred (100) entries).

• The Grand Prize Draw will only include verified users, and unverified users are not eligible to win, regardless of the number of correct predictions.

General Eligibility & Verification Requirements

Only users who have completed and passed Ndax’s account verification process are eligible to receive any prizes outlined in this Contest. Verification is free and typically takes under five (5) minutes. Users who do not complete verification are permitted to play the game for entertainment purposes but are strictly ineligible to claim any prizes.

6. POINT STRUCTURE

 Points accumulate over time and contribute toward the leaderboard and grand prize draw entries.

7. STREAK INCENTIVES

Purpose

The Streak Incentive is designed to reward users for consistent and correct game predictions over multiple consecutive picks. This feature recognizes consistency in correct game predictions and adds an additional layer of challenge and engagement to the Contest.

Definition of a Streak

A "Streak" is defined as a sequence of consecutive correct predictions across games, regardless of the number of games per day. A streak continues as long as the user’s correct predictions remain unbroken.

• If a user correctly predicts multiple games in a row, those correct picks are accumulated as a streak.

• A single incorrect prediction resets the user’s streak to zero, regardless of how many correct predictions were made before the incorrect pick.

Streak Display & Recognition

Users currently on an active streak will receive in-app visual recognition including:

• An optional flame icon or numerical streak count displayed next to their name on the leaderboard.

Streak Rewards

Eligible users will receive bonus points upon reaching specific win streak milestones. Points are awarded only when a streak reaches the exact milestone threshold listed below. If a user progresses beyond a milestone without interruption, cumulative rewards will be earned based on each milestone achieved.

Note: A 50-win streak is considered an exceptional achievement and may be extremely difficult to attain.

Streak points are added only at the time each milestone is reached and are not retroactive. Once a streak is broken, the user must restart from zero to begin earning toward the next streak milestone again. 

8. WINNER SELECTION

a) Game Day Daily Prize Winners

Winners of the Game Day Daily Prizes will be selected via a randomized draw conducted by a member of the Ndax Marketing Team, at Ndax’s principal place of business located in Calgary, Alberta, Canada, within forty-eight (48) hours following each eligible game day.

• The draw will include all eligible participants who submitted at least one (1) prediction for a game on the applicable day.

• Each eligible participant has an equal chance of being selected, provided all entry criteria are met.

• Odds of winning a daily prize are dependent on the total number of eligible participants who made predictions on that specific game day. For example, if 1,000 participants submit predictions on a given day, the odds of winning one (1) of the eighteen (18) daily prizes are approximately 1 in 56.

b) Round Prize Winners

Round Prizes will be awarded to users who accumulate the highest number of points during each specific playoffs round:

• First Round: 1 point per correct prediction

• Second Round: 2 points per correct prediction

• Conference Finals: 3 points per correct prediction

Points earned in the First and Second Round are used exclusively to determine the winners for those respective rounds and do not carry over into the subsequent round for round prize eligibility. Point totals reset to zero at the beginning of each new round for the purposes of First and Second Round Prize determination only.

Conference Finals prize winners will be determined based on each participant’s total cumulative points earned throughout the entire Contest period (i.e., across all rounds). These cumulative points will also be used to determine entries into the Grand Prize draw.

• Round winners will be determined by Ndax based on point calculations at the end of each round.

• In the event of a tie in point totals for any prize-winning position, Ndax will conduct a randomized draw among the tied participants to determine the winner(s).

• Odds of winning a Round Prize are dependent on the number of participants who are verified and actively submitting predictions during the applicable round. Based on historical data from the 2024 Stanley Cup® Playoffs:

  • First Round included approximately 40 games

  • Second Round included approximately 24 games

  • Conference Finals included approximately 12 games

  • Thus, the maximum point total available per round may range from 40 points (First Round) up to a total of 124 points until the Conference Final. Odds vary depending on the players prediction accuracy and participation volume.

All Round Prize winner selections will be conducted by the Ndax Marketing Team at its Calgary office within seven (7) days of the conclusion of the Contest.

c) Grand Prize Draw

The Grand Prize draw will occur within seven (7) days of the conclusion of the Contest and will be conducted by the Ndax Marketing Team at Ndax’s Calgary headquarters.

• Two (2) winners will be selected via a randomized draw from among all eligible entries.

• Participants earn one (1) entry for each point accumulated throughout the Contest from correct predictions and bonus activities (e.g., verified referrals and verification completion).

• Odds of winning the Grand Prize are dependent on the total number of entries in the draw, which are determined by each user’s cumulative points and bonus entries. For example, a user with fifty (50) entries in a draw of 50,000 total entries would have a 1 in 1,000 chance of winning.

d) Winner Confirmation Requirements

In order to be confirmed as a winner and claim any prize, the selected entrant must:

1. Have successfully completed Ndax’s account opening and identity verification process prior to prize claim;

2. Correctly answer a time-limited, skill-testing mathematical question without assistance; and

3. Comply fully with all Contest Rules and eligibility criteria.

4. Sign and complete a declaration of eligibility and liability and publicity release.  Each winner’s guest may also be required to sign a liability and publicity release.

Failure to meet any of the above requirements may result in disqualification and selection of an alternate winner at Ndax’s sole discretion.

9. GENERAL CONDITIONS

• Limit: One (1) Ndax account can be opened and verified per person. Multiple entries via the same individual or fraudulent activity will result in disqualification from the Contest and up to account closure on Ndax.

• Ndax reserves the right to verify identity and disqualify participants engaged in abusive, fraud, deceptive or manipulative activities or non-compliant behavior.

• Prizes must be accepted as awarded. No substitutions except at Ndax’s discretion.

• Winners may be announced publicly by name and city/province of their residency with their consent.

10. WINNER NOTIFICATION

If you are deemed eligible to win a prize, you will be contacted within fourteen (14) business days of the applicable daily, round or grand prize announcement using the contact information provided in your Ndax account at the time of account verification, such as your telephone number or email address. If you did not provide a valid telephone number or email address, you will not be eligible to win the prize.

To be officially declared a winner, you must correctly answer a mathematical skill-testing question without external assistance. Once your answer is verified you may be confirmed as a winner.

In the event of a dispute regarding the identity of an entrant, the individual associated with the email address used to submit the entry will be considered the entrant.

11. FORFEITURE AND ALTERNATE WINNER SELECTION

If Ndax is unable to reach you within seven (7) days of our initial contact attempt, if you do not correctly answer the skill-testing question, or if you fail to meet any other requirement outlined in these Contest Rules, the prize will be forfeited. In such cases, another eligible entry will be randomly selected in accordance with these Contest Rules. This process will continue until all available prizes have been successfully awarded.

12. PRIVACY AND USE OF PERSONAL INFORMATION

By entering the Contest and voluntarily providing your personal information as outlined in these Contest Rules, you consent to Ndax’s collection, use, and disclosure for the purpose of administering the Contest. This includes, but is not limited to, contacting you if you are selected as a potential winner.

Your personally-identifiable information will be used solely for Contest administration, unless otherwise stated in these Contest Rules. It will not be sold, shared, or disclosed to any third party, except to those engaged by Ndax to manage the Contest, complete account verification or as required by law in accordance with the Ndax Privacy Policy.

13. CONSENT TO PUBLICITY

By entering the Contest, you agree that if you are selected as a winner, Ndax may use your name, comments, voice, likeness, municipality of residence, Contest entry, and photo submission in any current or future advertising, promotional, or publicity materials, in any media, without compensation or additional notice. You grant Ndax all rights necessary for such use.

You also agree to cooperate with Ndax in facilitating publicity efforts and to be reasonably available for photographs or other promotional appearances upon request.

14. RELEASE OF LIABILITY AND ASSUMPTION OF RISK

By participating in the Contest and as a condition of accepting a prize, you—along with your heirs, executors, administrators, successors, and assigns—agree to release, discharge, and hold harmless Ndax, its directors, employees and contractors, the NHL Entities, and each of their respective parent companies, subsidiaries, affiliates, successors, assigns, agents, representatives, advertising and promotional agencies, and all of their respective employees, officers, and directors (collectively, the "Released Parties") from any and all claims, actions, damages, losses, or liabilities of any kind (“Claims”).

This includes, but is not limited to, direct, indirect, incidental, consequential, or punitive damages, personal injury, death, property damage, or any legal or financial costs (including substantial legal fees), whether arising from negligence or otherwise, relating to:

• Your participation in the Contest;

• Your entry submission;

• The awarding, acceptance, use, misuse, or enjoyment of any prize;

• Attendance at or participation in any prize-related or Contest-related event or activity; and

• Any publicity or promotional rights granted to Ndax.

You acknowledge and accept that accepting and using the prize may involve risks, including serious injury, death, or property damage, and you voluntarily assume all such risks. You also agree to indemnify and defend the Released Parties against any Claims related to your participation or prize use. 

15. QUEBEC RESIDENTS

The Contest is offered in compliance with the Charter of the French Language. All Contest content is available in French for Quebec residents.

16. ACCEPTANCE OF RULES AND DECISIONS

By entering the Contest, you agree to comply with all Contest Rules and the terms and conditions governing the awarding of prizes. All decisions made by Ndax in relation to the Contest are final and binding.

17. LIMITATIONS OF LIABILITY AND TECHNICAL ISSUES

Ndax is not responsible for any computer, online, telephone, hardware, software, or technical malfunctions or limitations that may occur. This includes, but is not limited to:

• Issues affecting the transmission, receipt, or processing of entries;

• Incorrect or inaccurate information resulting from users, equipment, or Contest-related programming;

• Errors, omissions, interruptions, deletions, defects, delays, or communication failures;

• Unauthorized access to or alteration of entries;

• Failures or malfunctions related to network lines, servers, providers, computer systems, software, email services, browsers, or devices due to technical problems or internet traffic congestion;

• Any injury or damage to participants or their devices related to or resulting from downloading materials or participating in the Contest.

In the event of a printing, manufacturing, mechanical, or other error resulting in more prizes being claimed than intended, the awarding of prizes will cease once Ndax identifies the error. Ndax reserves the right, at its sole discretion, to conduct a random draw from all eligible and approved, but unredeemed, prize claimants to award the remaining prizes. However, this does not apply to round prizes—such as the Stanley Cup® Final tickets—where winners are determined based on rank (total points earned in the game). In those cases, if the top-ranked winner is unable or unwilling to accept the prize, Ndax will continue down the ranking list until an eligible participant accepts the prize.

Under no circumstances shall Ndax be liable for awarding more prizes than those stated in these Contest Rules.

18. CONTEST MODIFICATIONS, SUBSTITUTIONS AND TERMINATION

Ndax reserves the right, in its sole discretion, to suspend, modify, or terminate any aspect of the Contest (including these Contest Rules) at any time. In the event a prize or any component of a prize becomes unavailable for any reason, Ndax may substitute it with a prize of equivalent value or type.

Ndax may also terminate or withdraw the Contest at any time by posting a notice on our website, app or social media channel. If the Contest is terminated before the predetermined date (the "Termination Date"), Ndax will select the winners from all eligible entries received by 12:00 PM ET on the Termination Date. These winners will be chosen through a random draw in accordance with the Contest Rules.

19. FRAUDULENT ACTIVITIES AND DISQUALIFICATION

Any attempt by an entrant or any other individual or entity to deliberately damage, manipulate, or undermine the legitimate operation of the Contest, including but not limited to fraudulent claims, constitutes a violation of the law. Ndax reserves the right to seek remedies and damages from any person or entity responsible for such actions.

Any entrant who, in the opinion of the Ndax, is found to be engaging in such activities will be immediately disqualified from the Contest. 

20. CONFLICT RESOLUTION AND PRECEDENCE OF RULES

In the event of any discrepancy or inconsistency between the terms and conditions of these Contest Rules and any Contest-related materials, including but not limited to translations of the Contest Rules in other languages, television, print, or online advertising, or any instructions or interpretations provided, the terms and conditions of these Contest Rules shall prevail. They shall govern and control to the fullest extent permitted by law.

21. ROLE OF NDAX

Ndax Canada Inc. (Ndax) is a Canadian crypto asset trading platform and Sponsor and administrator of this Contest. Ndax is the Official Crypto Trading Platform Partner of the National Hockey League (NHL) for the 2025 Stanley Cup® Playoffs.

23. GOVERNING LAW

 The Contest is governed by the laws of Alberta and the laws of Canada applicable therein, and is subject to all applicable federal, provincial, and municipal laws and regulations. The Contest is void where prohibited by law. Participation constitutes your full and unconditional agreement with these Contest Rules and the decisions of Ndax, which are final and binding in all matters related to the Contest. By entering the Contest, you agree that the courts of Alberta, Canada shall have jurisdiction to entertain any action or legal proceedings based on any provision of these Contest Rules or Ndax’s legal documentation presented at the time of the account verification.
